Vietcap Securities Joint Stock Company (ticker: VCI, HoSE) has approved the results of its share issuance to increase charter capital from its own equity. By March 27, 2026, the company distributed more than 297.53 million shares to existing shareholders, leaving 3,075 odd shares to be canceled.
The rights offering ratio was 20:7, meaning a holder of 20 shares received 7 new shares. The shares issued in this tranche were not subject to transfer restrictions.
After the issuance, Vietcap’s charter capital increased from 8,501 billion dong to more than 11,476.3 billion dong.
At Vietcap’s annual general meeting held on March 30, 2026, shareholders elected seven members to the Board of Directors for the 2026–2031 term, including 2 independent members, and elected 3 members to the Supervisory Board for the same term.
Six members of the previous board continued into the new term: Ms. Nguyen Thanh Phuong, Mr. To Hai, Mr. Dinh Quang Hoan, Mr. Le Ngoc Khanh, Mr. Nguyen Lan Trung Anh, and Ms. Nguyen Viet Hoa. Vietcap CEO Ms. Ton Minh Phuong was elected as a new board member.
The Board unanimously elected Ms. Nguyen Thanh Phuong as Chair and Mr. Dinh Quang Hoan as Acting Vice Chair.
The Supervisory Board includes Ms. Truong Thi Huyen Trang, Ms. Bui Thi Minh Nguyet, and Ms. Hong Anh Nguyet, with Ms. Bui Minh Nguyet serving as Chair of the Supervisory Board.
At the same meeting, shareholders approved Vietcap’s 2026 business plan with revenue of 6.525 trillion dong and pre-tax profit of 2.300 trillion dong, representing increases of 30% and 41%, respectively, compared with 2025 results.
The plan also targets a dividend payout of 5–12%.
Shareholders approved a 2026 employee stock option plan (ESOP) allowing for the issuance of up to 4.6 million shares at 11,000 dong per share. The ESOP shares issued in this tranche will be non-transferable for one year, with implementation expected after the distribution of the more than 297.5 million bonus shares.
