Duc Giang Chemical Group Joint Stock Company (ticker DGC – HOSE) has announced it will hold an extraordinary general meeting of shareholders in 2026 on May 8 in Bo De ward, Hanoi. Shareholders on the register as of April 10, 2026 will be eligible to attend.
In the meeting materials, the Board of Directors proposes approving the dismissal and appointment of three board members for the remainder of the 2024–2029 term.

The stated reason for dismissal is that these individuals are under indictment by the Investigation Police Agency – Ministry of Public Security.
To ensure the number of board members in line with the Corporate Law and the company’s Articles of Association, the Board will also present a plan to appoint three new members. The candidate list will be announced based on valid nominations from shareholders and shareholder groups ahead of the meeting.
The Supervisory Board is expected to propose to shareholders the selection of an independent auditing firm. The candidate list includes A&C Audit and Consulting Co., Ltd. and UHY Audit and Consulting Co., Ltd.
If selected, the auditing firm will audit the company’s 2025 financial statements, and will also review the semi-annual financial statements and audit the 2026 financial statements.
Previously, Duc Giang Chemical submitted a request to delay the filing of the audited financial statements for 2025. The company said many accounting files were sealed and seized by the Police Investigation Agency, preventing it from conducting the audit.
The company also disclosed unusual information related to the indictment in connection with an environmental pollution case; violations of regulations on research, exploration and exploitation of resources; and violations of accounting regulations causing serious consequences at the company and related units.
According to the disclosure, the Police Investigation Agency has indicted 14 individuals, including Mr. Dao Huu Huyen, Mr. Dao Huu Duy Anh and several accounting personnel of the company.
