The State Securities Commission (UBCKNN) has issued administrative penalties for securities-related violations against HUDLAND Real Estate Joint Stock Company (ticker HLD, listed on the Hanoi Stock Exchange), Ha Tay Trading and Commerce Joint Stock Company (ticker HTT, listed on UPCoM), and Viglacera Sanitary Equipment Co., Ltd. (ticker TVA, listed on UPCoM).
UBCKNN fined HUDLAND Real Estate 65 million VND for publishing incomplete information disclosure (CBTT) in accordance with legal requirements. The commission cited multiple deficiencies across governance and related-party disclosures, including:
In addition, HUDLAND was fined 92.5 million VND for not disclosing information required by law. UBCKNN noted that the company failed to CBTT as required for multiple resolutions and documents, including:
The commission also cited delayed or missing disclosures for documents including Resolution 1215/NQ-HĐQT (Jul 30, 2024) on related-party loans, explanations of post-tax profit in the 2024 financial statements, an enforcement decision from the Hanoi Tax Department, and CBTT for the 2024 audited financial statements and 2024 semi-annual financial statements.
Finally, HUDLAND received an additional fine of 137.5 million VND for disclosure requirement violations related to transactions involving shareholders, company executives, and related parties.
According to audited financial statements for 2024 and 2025, HUDLAND conducted transactions with HUDS Housing and Urban Service Co., Ltd. that were not approved by the AGM/Board. UBCKNN specifically referenced a goods transaction (water) and hall rental under service contract 401/HUDLANDHUDS/2025 dated 28/3/2025.
All told, HUDLAND received administrative penalties totaling 295 million VND.
UBCKNN fined Ha Tay Trading and Commerce Joint Stock Company (HTT) 92.5 million VND for not disclosing information required by law. The commission stated that HTT did not publish CBTT on UBCKNN’s CBTT system and on the Hanoi Stock Exchange website regarding AGM resolutions for 2023–2025.
In addition, HTT was fined 15 million VND for failing to appoint a person in charge of governance as required by Decree 156/2020/NĐ-CP (as amended).
The total fines for HTT come to 107.5 million VND.
Viglacera Sanitary Equipment Co., Ltd. (TVA) was fined 3% of the market value of traded securities for failing to report a planned transaction. UBCKNN noted that on 26/12/2025, TVA was an affiliated entity of Lê Anh Tuấn, the Chairman of TVA, who purchased nearly 3.8 million TVA shares (around 37.8 billion VND at par) but did not report the planned transaction.
UBCKNN also ordered a 3-month trading suspension under applicable regulations.
