Khai Hoan Land (KHG) has approved the acquisition of the entire contributed capital of Hoang Thao My Trading and Services Co., Ltd., valued at 750 billion VND, equivalent to 100% of Hoang Thao My’s charter capital.
Hoang Thao My was established in February 2018 and operates in real estate. As of September 2025, the company’s charter capital was 750 billion VND, contributed by Hoang Tra My Trading and Services Co., Ltd. (83.33%) and director Tran Dang Khoa (16.67%). These two partners are transferring their contributed capital to Khai Hoan Land.
On April 14, 2026, Khai Hoan Land held its 2026 annual general meeting (AGM) and approved its 2026 business plan. The company targets net revenue from sales and services of 1,250 billion VND and pretax profit of 155 billion VND.
For context, Khai Hoan Land previously announced its 2025 audited results, reporting revenue of 601.3 billion VND and pretax profit of 87.3 billion VND. The company’s plan aims to double revenue and increase pretax profit by 77% versus 2025.
The AGM authorized the board to issue up to 80 million private shares to no more than 20 professional investors. Privately placed shares will be restricted from transfer for one year from the offering’s closing date.
The AGM also authorized the board to allow KH Invest to acquire private shares or contribute capital/acquire voting shares of Khai Hoan Land in one or more transactions from Chairman Nguyen Khai Hoan and his wife, Tran Thi Thu Huong. KH Invest currently holds 20 million shares (4.45%), while the chairman holds 137.2 million shares (30.54%).
In addition, Khai Hoan Land plans to issue 8.9 million ESOP shares in 2026, representing 2% of outstanding shares. Transfer restrictions for ESOP shares range from 12 to 36 months.
The ESOP issuance will be funded from profits after tax surplus as of December 31, 2025, according to the Group’s audited consolidated financial statements. Eligible recipients are employees across the Group.
For the 2026–2031 term, the AGM elected the board of directors, including: Mr. Nguyen Khai Hoan; Mrs. Dinh Thi Nhat Hanh; Mrs. Pham Thi Minh Phu; Mr. Tran Van Duong; and two independent directors, Mrs. Pham Thi Hoa and Mr. Nguyen Huu Minh Tri.
