During the trading session on March 9, 2026, Kido Frozen Foods Joint Stock Company (KDF) received the transfer of 5 million VDS shares, thereby increasing its stake to 26 million shares, representing 9.56% of VDS’s charter capital. Dragon Viet Securities Joint Stock Company (VDSC, ticker VDS, HOSE) continued to record shareholder movements. Specifically, Kido Frozen Foods Joint Stock Company (KDF) received a transfer of 5 million VDS shares in the session on March 9, 2026 via an on‑exchange negotiated agreement, raising ownership to 26 million shares, or 9.56% of charter capital. Additionally, the entity related to KDF, Nutifood Bình Dương Nutrition Food Joint Stock Company, holds 11.75 million VDS shares, equivalent to 4.32% of charter capital. Currently, the KDF–Nutifood Bình Dương group holds a total of 37.73 million shares, accounting for 13.88% of Chứng khoán Rong Viet’s charter capital. On the other hand, Mr. Nguyễn Xuân Đô reported transferring 5 million VDS shares in the same session on March 9, 2026 by way of a negotiated on‑exchange arrangement. As a result, this shareholder reduced ownership by 16.71 million shares to 6.15% of charter capital. It is likely that Mr. Đô transferred VDS shares to KDF. Previously, these two investors had traded VDS shares several times in January 2026. Kido Frozen Foods was established in 2003, formerly fully owned by Kido Group (ticker: KDC). In July 2022, KDF underwent equitization and increased authorized capital from VND 541.6 billion to VND 741.6 billion. Following the transformation, Kido reduced its stake in KDF from 100% to 73.03%, corresponding to 54.16 million shares. In 2023, Kido continued transferring 24.03% of KDF shares to Nutifood Nutrition Food Joint Stock Company to reduce ownership to the current 49%. Meanwhile, Nutifood bought more from other shareholders and owned 51% of KDF by September 2024, thereby becoming the parent company of KDF. In late 2025, with shareholder approval, Kido Group approved a resolution transferring 36.33 million shares, equivalent to 49% of the remaining capital in KDF, to Nutifood Nutrition Food Joint Stock Company (Nutifood). If this transaction completes, Kido would withdraw all capital from KDF. Recently, Rong Viet Securities, through its plan to organize the 2025 annual general meeting, intends to hold the 2025 AGM on April 16, 2026. The last registration date to finalize the shareholder list is March 9, 2026. At the meeting, Rong Viet Securities will present to shareholders reports including the 2025 business results and 2026 plan; the 2025 Board of Directors’ activities report and 2026 directions; the Independent Directors’ assessment report on the Board’s activities in 2025; the 2025 Supervisory Board activities report and 2026 directions; and the proposals to shareholders including approval of the audited standalone and consolidated financial statements for 2025; the proposal to increase registered capital in 2026; the proposal to list Rong Viet bonds issued to the public; and other items within the AGM’s jurisdiction (if any).
