AZIO AI Corp. (AZIO AI) said it has secured a customer order from Envirotech Vehicles, Inc. (NASDAQ: EVTV) to expand modular AI data center infrastructure at its South Texas deployment site. The order is expected to support approximately 5 megawatts (MW) of high-density compute capacity, reflecting continued progress in AZIO AI’s strategy to deploy scalable AI infrastructure integrated with dedicated energy resources. Deployment remains subject to customary conditions, including manufacturing, delivery, site readiness, and commissioning.
In January 2026, AZIO AI and Envirotech Vehicles announced the signing of a non-binding letter of intent (LOI) under which Envirotech Vehicles would acquire 100% of the issued and outstanding shares of AZIO AI. Since then, the companies have continued evaluating the structure of a potential transaction while advancing collaboration efforts focused on the intersection of energy infrastructure and AI compute deployment.
Over the past several months, the companies worked to align AZIO AI’s modular AI infrastructure platform with EVTV’s evolving focus on energy systems and power infrastructure. They identified a shared opportunity to address a key constraint in AI infrastructure: access to reliable, scalable power. The South Texas site is described as an early-stage platform for this alignment, combining behind-the-meter natural gas power with modular, high-density AI compute.
The previously disclosed LOI contemplates a potential transaction in which AZIO AI would merge into EVTV. The structure, timing, and terms of any such transaction remain under evaluation.
Any transaction would be subject to the negotiation and execution of definitive agreements, as well as board and shareholder approvals, regulatory considerations, and customary conditions. There can be no assurance that any transaction will be completed.
A key feature of the South Texas deployment is the use of behind-the-meter natural gas power generation. AZIO AI said this approach allows it to deploy compute infrastructure with greater control over energy availability, cost, and scalability.

It added that multi-megawatt deployments such as this are expected to serve as building blocks for broader platform scaling over time, subject to successful execution and market conditions.
