F88 has announced a Board of Directors’ resolution adjusting bond issuance costs for 2026. The Board approved the adjustment of funding costs for bond issuance in 2026 as set out in Proposal No. 1604-01/2026/TTr/BTGĐ/F88KD dated 16 April 2026. The resolution states that all other bond terms and conditions remain unchanged.
Under the resolution, the interest rate and distribution costs will be determined by the General Director on behalf of the Board of Directors, based on market conditions at the time of the offering, while ensuring compliance with the criteria approved in the referenced proposal.
Separately, F88 previously announced the public offering of 3 million bonds in the second tranche (expected bond code F88126015). The total offering value is VND 300 billion, with a par value of VND 100,000 per bond. The bonds have a 24-month term and a fixed interest rate of 10% per year, with interest paid quarterly.
F88 also approved a plan to issue shares to increase its capital from equity. The company intends to issue more than 110.1 million bonus shares to existing shareholders on a 1-for-1 basis (one new share for each share held). The total nominal value of the bonus shares is over VND 1,101 billion, funded from retained earnings and share premium based on the audited 2025 financial statements.
In addition, F88 plans to offer more than 22 million shares to domestic and foreign organizations and individuals interested in purchasing shares. The newly issued shares are not subject to transfer restrictions. With a minimum offering price of VND 22,240 per share, F88 expects to raise at least VND 489.8 billion, to be used to increase charter capital and support pawnbroking service operations.
The company plans to issue the two share tranches in 2026. If completed, F88’s charter capital is projected to increase from about VND 1,101.3 billion to about VND 2,422.8 billion. The capital increase plan was approved by shareholders at the 2026 annual General Meeting held on March 30, 2026.
F88 also plans to issue more than 4.4 million shares under the 2025 ESOP program at VND 10,000 per share. All proceeds from the share issuance will be used to supplement working capital for the company’s pawnbroking business.
