Mach Natural Resources LP (NYSE: MNR) announced the pricing of a previously announced underwritten public offering of common units. The offering will be conducted by the company’s selling unitholders and Mach will not sell any common units or receive any proceeds.
The offering consists of 9,000,000 common units representing limited partner interests in Mach priced at $13.05 per common unit. The offering is expected to close on April 8, 2026, subject to customary closing conditions.
The selling unitholders have granted the underwriters a 30-day option to purchase up to an additional 1,350,000 common units.
Morgan Stanley is acting as the underwriter for the offering. The securities are being offered only by means of a prospectus meeting the requirements of Section 10 of the Securities Act of 1933, as amended.
The offering is being made pursuant to a registration statement previously filed with the Securities and Exchange Commission (SEC), which became effective on December 12, 2025. The offering may be made only by means of a prospectus supplement and accompanying prospectus.
