TPBank (Tien Phong Commercial Joint Stock Bank) has published its 2026 annual general meeting (AGM) materials, including proposals covering the bank’s business plan and the establishment of a wholly-owned subsidiary bank at the Vietnam International Financial Center (VIFC). The agenda also includes the election of two additional board members for the 2023–2028 term.
Under the submission, the proposed subsidiary bank at VIFC would have charter capital of VND 3 trillion and be headquartered in Ho Chi Minh City (TPBank VIFC).
The materials state that in February 2026, VIFC-HCMC officially launched, with TPBank listed as one of the founding members. TPBank said participating from the outset would strengthen its role in the VIFC ecosystem and provide legal and strategic foundations for areas including digital banking, international payments, digital assets, and international capital markets.
TPBank expects the 100%-owned subsidiary at VIFC, headquartered in Ho Chi Minh City, to offer competitive advantages under a specialized framework compared with traditional banking. The bank envisions TPBank VIFC operating under an Intelligent Banking model, focusing on:
In the initial phase, TPBank said the focus would be on international payments, including connecting banks, fintechs and capital markets, and arranging international funding. It would then gradually expand into a broader digital finance ecosystem under appropriate legal frameworks.
Regarding governance, the AGM materials state that the bank approved the dismissal of Nguyen Thi Mai Suong, a board member for the 2023–2028 term, following her resignation. Two new board members were elected, including one independent director.
With the changes, TPBank’s board would total six members, including two independent directors.
TPBank has not disclosed details of its 2026 business plan in the materials.
The 2026 AGM is expected to be held on April 24 in Hanoi.
