PAT (Phốt pho Apatit Việt Nam Joint Stock Company, ticker PAT) has applied to defer the submission of its audited financial statements for 2025, citing a force majeure situation related to an ongoing investigation involving the company and related entities.
According to PAT’s notification, on March 17, 2026, the Police Investigation Agency of the Ministry of Public Security announced the filing of a case for “Pollution of the environment; Violations of laws on exploration, surveying and exploiting resources; Violations of accounting regulations causing severe consequences,” occurring at Đức Giang Chemical Group Joint Stock Company (DGC) and related entities, including PAT.
PAT stated that the case is currently under investigation. As many accounting records have been sealed and seized by the investigative police, the company is unable to proceed with auditing its 2025 financial statements.
For this reason, PAT has requested the State Securities Commission of Vietnam (UBCKNN) and the Hanoi Stock Exchange (HNX) to consider allowing it to delay the submission of the 2025 audited financial statements in accordance with Circular 96/2020/TT-BTC.
PAT said that once the audit process for the 2025 financial statements can resume, it will coordinate with the audit firm and disclose complete information about the 2025 audit report upon completion.
DGC currently holds controlling influence over PAT through its 100% owned subsidiary, Duc Giang Chemical Co. - Lao Cai. As of the end of 2025, the Lào Cai-based subsidiary is the controlling shareholder with 51% of charter capital.
In addition, Mr. Đào Hữu Duy Anh and Mr. Đào Hữu Huyền hold a combined 16.72% of PAT’s capital.
In 2025, PAT reported net revenue of VND 1,923 billion and net profit after tax of VND 347 billion.
On May 13, 2026, PAT plans to hold an extraordinary general meeting in Hanoi to elect four new members to the Board of Directors. The last registration date to attend is April 13, 2026.
In the market, PAT shares closed on April 3 at VND 71,000 per share.
